If you are registering on behalf of a minor (student under 18), you represent that you are their parent or legal guardian and accept these Terms on their behalf.

2.1 Eligibility

Users must provide accurate, current, and complete registration information.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Any activity conducted under your account is your sole responsibility.

2.3 Prohibited Sharing

Account sharing, credential pooling, or multi-user access per single student subscription is strictly prohibited and may result in immediate account termination without notice.

3.1 Pricing

All course fees, subscription models, and tuition rates are listed on the Platform and are subject to change without prior notice.

3.2 Payment Terms

Full payment or authorized installment payments must be received prior to course enrollment or activation of access to virtual classes.

All fees paid for courses, subscriptions, registration, materials, or virtual classes on this Platform are strictly NON-REFUNDABLE.

4.1

Once a payment is processed, no refunds, credits, or partial reimbursements will be issued under any circumstances, including but not limited to: voluntary withdrawal from a course, failure to attend live sessions, technical issues on the user's end, or dissatisfaction with the course content or instructor.

4.2

In the rare event that a course or class is canceled by the Platform administrators prior to commencement, a course credit or rescheduled alternative will be offered at the sole discretion of management.

5.1 Ownership

All content provided on the Platform—including but not limited to video lectures, slides, text, graphics, logos, software, quizzes, and downloadable resources—is the intellectual property of the Platform or its content creators.

5.2 Limited License

Users are granted a personal, non-exclusive, non-transferable, revocable license to view and use the course materials solely for personal, non-commercial educational purposes.

5.3 Restrictions

You agree not to record, reproduce, distribute, modify, broadcast, or publicly display any virtual class content or downloadable materials without explicit written authorization.

To maintain a productive and respectful digital learning environment, students agree to:

• 6.1 Refrain from disruptive, abusive, or discriminatory behavior in live chat rooms, forums, or video sessions.
• 6.2 Respect intellectual property and privacy rights of instructors and fellow learners (e.g., no unauthorized screenshots or recordings of other participants).
• 6.3 Submit original work for assignments and assessments. Plagiarism or cheating will result in disciplinary action, up to and including expulsion from the Platform without refund.

7.1 User Responsibility

Users are solely responsible for ensuring they have compatible hardware, reliable internet connectivity, and necessary software to access the virtual classes.

7.2 Platform Availability

While we strive for 24/7 uptime, we do not guarantee uninterrupted access to the Platform. Maintenance, updates, or unforeseen technical outages may occur. We are not liable for any missed classes or content due to user technical failures or internet service disruptions.

8.1 Scope and Applicability

These provisions apply to every registered member of the VGC, Vasila Global Community, including media partners, independent channel networks, content creators, students, and all other users. Where a provision applies to a particular category of member, it applies to that category only. All remaining provisions apply equally to every community member.

8.2 Definitions

• VGC means the Vasila Global Community platform.
• VCM means every registered community member.
• VMP (Vasila Media Partners) means a media partner who uploads original content for both Vasila and the partner's own channels.
• ICN means an Independent Channel Network that does not produce content, but may access and publish content via platform license.
• Content Creation Team means members authorized to produce and upload content for the platform, subject to these terms.
• Credits means non-cash platform units used for licensed downloads, not legal tender, possessing no real-world monetary value.
• Licensed Content means content explicitly made available for download under the credit system with a limited, non-exclusive, revocable license.
• Permitted Use means personal educational use only, with no redistribution, resale, or public re-upload permitted.
• Prohibited Conduct includes downloading restricted content, circumventing credits, removing watermarks, falsely claiming authorship, or sharing files with unauthorized parties.
• Enforcement Actions may include account suspension or termination, license revocation, content removal, and copyright infringement claims.

8.3 Operating Mandates for Vasila Media Partners (VMP)

• VMP shall strictly follow the guidelines of the CCC (Content Creation Committee).
• VMP shall be responsible for producing content for VGC in both an exclusive and non-exclusive manner, as clearly specified in a separate independent contract executed for each project or venture before initiating production.
• VMP may simultaneously produce content exclusively or non-exclusively for their own respective channels with mutual consent, operating as autonomous independent business units.
• The publication rights of each project shall be clearly stipulated in each contract without ambiguity to avoid any consequential confusion.

8.4 Applicability Statement

These clauses apply to VCMs, VMPs, ICNs, and Content Creation Team members. Any category-specific rule binds only that category. All other terms of the main agreement remain unchanged and in full force.

To the maximum extent permitted by applicable law, the Platform and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the virtual classes, LMS, or inability to access the services.

We reserve the right to modify, amend, or update these Terms at any time. Changes will be posted directly on this page with an updated effective date. Continued use of the Platform following any modifications constitutes your formal acceptance of the revised Terms.

These Terms and Conditions of Service & End-User License Agreement (hereinafter, the "Agreement") constitute a binding legal contract between the individual accessing or utilizing the educational platform (hereinafter, the "Student" or "User") and the operating entity of this Learning Management System (hereinafter, the "Company," "Platform," or "We").

By registering an account, purchasing a subscription, or accessing any virtual classes, live streams, or digital materials (collectively, the "Services"), the User expressly signifies assent to all terms contained herein. If the User is a minor, this Agreement must be executed by a parent or legal guardian who assumes full liability for compliance herewith.

1.1 Accuracy of Data

The User warrants that all registration data provided is true, accurate, current, and complete. Any misrepresentation or falsification of identity shall constitute grounds for immediate termination of access without notice.

1.2 Account Stewardship

The User is solely responsible for maintaining the strict confidentiality of their authentication credentials. All actions executed through the User Account shall be conclusively deemed the acts of the registered User.

1.3 Prohibition of Credential Pooling

User accounts and licenses are strictly non-transferable. Simultaneous logins, credential sharing, or unauthorized multi-user access are material breaches of this Agreement, invoking immediate account revocation and forfeiture of all associated privileges.

2.1 Fee Remittance

All tuition fees, registration charges, subscription rates, and material costs are designated in the fee schedule published on the Platform and must be cleared in full prior to course activation.

2.2 Non-Refundable Policy

All monetary remittances, fees, subscriptions, and payments made to the Platform are strictly non-refundable under any circumstances.

• No refunds, chargebacks, financial adjustments, pro-rata returns, or account credits shall be issued, irrespective of the underlying cause. This absolute bar applies to, but is not limited to: voluntary withdrawal, academic disqualification, expulsion for misconduct, non-attendance, scheduling conflicts, technical incompatibilities on the User's end, or subjective dissatisfaction with instructional methodology or curriculum content.
• In the extraordinary event that the Company permanently cancels a scheduled educational program prior to commencement, the Company's sole legal remedy and liability shall be restricted exclusively to the issuance of a transferable course credit for alternative programming, redeemable at the sole discretion of Company management.

3.1 Reservation of Rights

All Content—comprising video recordings, audio feeds, software, source code, text, graphics, trademarks, logos, examinations, and proprietary curricula—is the exclusive intellectual property of the Company or its licensed content providers, protected under domestic and international copyright laws.

3.2 Limited Grant of License

Subject to continuous compliance with this Agreement, the Company grants the User a personal, revocable, non-exclusive, non-transferable, limited license to access and view the Content solely for individual educational advancement.

3.3 Infringement Restrictions

The User expressly covenants not to record (via screen-capture, audio-recording, or external apparatus), duplicate, reproduce, download, distribute, broadcast, publish, modify, or create derivative works of any virtual classroom sessions or digital materials. Any unauthorized exploitation constitutes willful copyright infringement and will be prosecuted to the maximum extent permitted by law.

4.1 Academic and Professional Standards

Users shall maintain high standards of civil discourse and academic integrity within all virtual environments, discussion boards, and live sessions.

4.2 Prohibited Conduct

Zero tolerance is maintained for harassment, hate speech, disruptive behavior, invasion of peer privacy, proxy attendance, or academic dishonesty (including plagiarism and unauthorized collaboration on assessments).

4.3 Remedial Action

The Company reserves the unilateral right to suspend, restrict, or permanently terminate any User Account for disciplinary infractions without prior warning, liability, or financial restitution.

• VMP shall be responsible for producing content for VGC in both an exclusive and non-exclusive manner, as clearly specified in a separate independent contract executed for each project or venture prior to initiating production.
• VMP may simultaneously produce content exclusively or non-exclusively for their own respective channels with mutual consent, operating as autonomous independent business units.
• The publication rights of each project shall be explicitly stipulated in each independent contract without ambiguity to avoid any consequential confusion.

6.1 Educational Disclaimer

The Platform offers educational services on an informational basis and issues no guarantees, warranties, or assurances regarding academic performance, professional licensure, career advancement, or specific economic outcomes.

6.2 As-Is Provision

The Services are delivered on an "AS IS" and "AS AVAILABLE" basis. The Company explicitly disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.3 Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, and agents shall bear no liability for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, goodwill, or business interruption—arising from or related to the use of or inability to use the Services.

This Agreement, and any disputes, controversies, or claims arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the substantive laws of the operating jurisdiction of the Company, without regard to conflict of law principles. The courts situated within said jurisdiction shall exercise exclusive jurisdiction over any legal proceedings emanating herefrom.

8.1 Modification

The Company reserves the right to amend, alter, or update this Agreement at its discretion. Notice of alterations will be posted on the Platform, and continued utilization of the Services post-notification constitutes binding ratification of the revised terms.

8.2 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed to the minimum extent required, and the remaining provisions shall continue in full legal force and effect.
