Terms and Conditions for Online Learning Management System (LMS)

Welcome to our Learning Management System (LMS). These Terms and Conditions ("Terms") govern your access to and use of our virtual platform, online classes, digital content, and services (collectively, the "Platform"). By registering for an account, accessing courses, or using the Platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to comply with these Terms and our Privacy Policy. If you are registering on behalf of a minor (student under 18), you represent that you are their parent or legal guardian and accept these Terms on their behalf.
2. Account Registration and Security
2.1 Eligibility
Users must provide accurate, current, and complete registration information.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. Any activity conducted under your account is your sole responsibility.
2.3 Prohibited Sharing
Account sharing, credential pooling, or multi-user access per single student subscription is strictly prohibited and may result in immediate account termination without notice.
3. Fees, Payments, and Billing
3.1 Pricing
All course fees, subscription models, and tuition rates are listed on the Platform and are subject to change without prior notice.
3.2 Payment Terms
Full payment or authorized installment payments must be received prior to course enrollment or activation of access to virtual classes.
4. Non-Refundable Fee Clause (Crucial Policy)
All fees paid for courses, subscriptions, registration, materials, or virtual classes on this Platform are strictly NON-REFUNDABLE.
4.1
Once a payment is processed, no refunds, credits, or partial reimbursements will be issued under any circumstances, including but not limited to: voluntary withdrawal from a course, failure to attend live sessions, technical issues on the user's end, or dissatisfaction with the course content or instructor.
4.2
In the rare event that a course or class is canceled by the Platform administrators prior to commencement, a course credit or rescheduled alternative will be offered at the sole discretion of management.
5. Intellectual Property Rights
5.1 Ownership
All content provided on the Platform—including but not limited to video lectures, slides, text, graphics, logos, software, quizzes, and downloadable resources—is the intellectual property of the Platform or its content creators.
5.2 Limited License
Users are granted a personal, non-exclusive, non-transferable, revocable license to view and use the course materials solely for personal, non-commercial educational purposes.
5.3 Restrictions
You agree not to record, reproduce, distribute, modify, broadcast, or publicly display any virtual class content or downloadable materials without explicit written authorization.
6. Code of Conduct in Virtual Classes
To maintain a productive and respectful digital learning environment, students agree to:
- 6.1 Refrain from disruptive, abusive, or discriminatory behavior in live chat rooms, forums, or video sessions.
- 6.2 Respect intellectual property and privacy rights of instructors and fellow learners (e.g., no unauthorized screenshots or recordings of other participants).
- 6.3 Submit original work for assignments and assessments. Plagiarism or cheating will result in disciplinary action, up to and including expulsion from the Platform without refund.
7. Technical Requirements and Disclaimers
7.1 User Responsibility
Users are solely responsible for ensuring they have compatible hardware, reliable internet connectivity, and necessary software to access the virtual classes.
7.2 Platform Availability
While we strive for 24/7 uptime, we do not guarantee uninterrupted access to the Platform. Maintenance, updates, or unforeseen technical outages may occur. We are not liable for any missed classes or content due to user technical failures or internet service disruptions.
8. Vasila Global Community (VGC), Media Partners, Independent Channel Networks, and Content Licensing
8.1 Scope and Applicability
These provisions apply to every registered member of the VGC, Vasila Global Community, including media partners, independent channel networks, content creators, students, and all other users. Where a provision applies to a particular category of member, it applies to that category only. All remaining provisions apply equally to every community member.
8.2 Definitions
- VGC means the Vasila Global Community platform.
- VCM means every registered community member.
- VMP (Vasila Media Partners) means a media partner who uploads original content for both Vasila and the partner's own channels.
- ICN means an Independent Channel Network that does not produce content, but may access and publish content via platform license.
- Content Creation Team means members authorized to produce and upload content for the platform, subject to these terms.
- Credits means non-cash platform units used for licensed downloads, not legal tender, possessing no real-world monetary value.
- Licensed Content means content explicitly made available for download under the credit system with a limited, non-exclusive, revocable license.
- Permitted Use means personal educational use only, with no redistribution, resale, or public re-upload permitted.
- Prohibited Conduct includes downloading restricted content, circumventing credits, removing watermarks, falsely claiming authorship, or sharing files with unauthorized parties.
- Enforcement Actions may include account suspension or termination, license revocation, content removal, and copyright infringement claims.
8.3 Operating Mandates for Vasila Media Partners (VMP)
- VMP shall strictly follow the guidelines of the CCC (Content Creation Committee).
- VMP shall be responsible for producing content for VGC in both an exclusive and non-exclusive manner, as clearly specified in a separate independent contract executed for each project or venture before initiating production.
- VMP may simultaneously produce content exclusively or non-exclusively for their own respective channels with mutual consent, operating as autonomous independent business units.
- The publication rights of each project shall be clearly stipulated in each contract without ambiguity to avoid any consequential confusion.
8.4 Applicability Statement
These clauses apply to VCMs, VMPs, ICNs, and Content Creation Team members. Any category-specific rule binds only that category. All other terms of the main agreement remain unchanged and in full force.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Platform and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the virtual classes, LMS, or inability to access the services.
10. Modifications to Terms
We reserve the right to modify, amend, or update these Terms at any time. Changes will be posted directly on this page with an updated effective date. Continued use of the Platform following any modifications constitutes your formal acceptance of the revised Terms.
